01Acceptance of terms
These Terms of Service ("Terms") are an agreement between you and GrowLocals.ai ("GrowLocals", "we", "us", or "our") governing your access to and use of our website, products, and services (the "Service"). By creating an account, starting a trial, or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business.
02The service
GrowLocals provides an all-in-one growth platform for local businesses, including a lead inbox, calendars, pipeline, payments, reputation management, marketing automation, and AI-assisted communication. We may add, change, or remove features over time to improve the Service.
03Accounts & eligibility
- You must be at least 18 years old and able to form a binding contract.
- You are responsible for the accuracy of your account information and for keeping your login credentials secure.
- You are responsible for all activity that occurs under your account, including actions taken by your team members and any automations you enable.
- Notify us promptly at [email protected] if you suspect unauthorized use of your account.
04Billing, trials & renewals
- Subscriptions — paid plans are billed in advance on a recurring basis (monthly or annually) at the rate shown when you subscribe.
- Free trial — if you start a trial, you will not be charged until the trial ends; you can cancel anytime before then to avoid charges.
- Renewals — subscriptions renew automatically unless you cancel before the end of the current term. You can cancel from your account settings.
- Usage fees — some features (such as messaging and phone usage) carry usage-based fees passed through from our providers.
- Taxes & refunds — fees are exclusive of taxes; except where required by law, payments are non-refundable.
05Acceptable use
You agree not to misuse the Service. You will not:
- Break the law, infringe others' rights, or violate any messaging, marketing, or telecom regulation.
- Send spam, deceptive, or unsolicited messages, or contact people without the consent the law requires.
- Upload malware, attempt to breach security, or interfere with the Service's operation.
- Reverse engineer, resell, or copy the Service except as permitted by these Terms.
- Use the Service to store or transmit content that is unlawful, harassing, or harmful.
06Messaging & consent
The Service lets you send SMS, email, and automated messages to your contacts. You are solely responsible for obtaining and maintaining the consent required to contact your customers and for complying with all applicable laws (including TCPA, CAN-SPAM, and similar rules in your jurisdiction).
07Your data & responsibilities
You retain ownership of the data you and your customers put into the Service ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Service. You are responsible for having the rights and consents needed to use that data, and for backing up anything you can't afford to lose. Our handling of personal information is described in our Privacy Policy.
08Intellectual property
The Service, including its software, design, logos, and content we provide, is owned by GrowLocals and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not use our trademarks without prior written permission.
09Third-party services
The Service integrates with third-party tools (such as payment processors, messaging carriers, and AI providers). Your use of those services is governed by their own terms, and we are not responsible for their performance, availability, or policies.
10Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement.
11Limitation of liability
To the maximum extent permitted by law, GrowLocals will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.
12Indemnification
You agree to indemnify and hold GrowLocals harmless from claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your Customer Data, the messages you send, or your violation of these Terms or applicable law.
13Termination
You may cancel your account at any time from your settings. We may suspend or terminate your access if you violate these Terms, fail to pay, or use the Service in a way that creates risk or legal exposure. On termination, your right to use the Service ends; you may export your Customer Data for a reasonable period before it is deleted in line with our Privacy Policy.
14Governing law & disputes
These Terms are governed by the laws of the jurisdiction in which GrowLocals is established, without regard to conflict-of-law rules. You agree to resolve disputes in the courts of that jurisdiction, unless applicable law requires otherwise. Insert your governing state/country and any arbitration terms here with your counsel.
15Changes to these terms
We may update these Terms from time to time. When changes are material, we'll update the date above and notify you in the product or by email. Continued use of the Service after an update means you accept the revised Terms.
